Overview

We are hiring Senior Counsel to be located in the Research Triangle Park (RTP) area and to primarily provide legal and compliance advice and support in relation to a range of matters affecting the FUJIFILM Diosynth Biotechnologies (FDB) North Carolina sites currently located in Holly Springs (FDBN) and Morrisville (FDBU).  The Senior Counsel will be required to be on-site at least three (3) days per week.  Senior Counsel may also provide legal and compliance advice and support remotely to FDB’s sites in Texas (FDBT) and California (FDBC), and FDB’s global wider legal and compliance team, as required.

 

The Senior Counsel will be part of the FDB US Legal Team reporting to the Assistant General Counsel. The person in this role will assist with the direction of legal matters for FDB, both independently and in collaboration with their counterpart(s) in Europe and the legal team at FUJIFILM Holdings America Corporation (“HLUS”).  The Senior Counsel will be the Site Leadership Team legal business partner, closely collaborating with the site leadership on various legal issues affecting the business.

Responsibilities

Commercial and Program Management Support:

  • Develop an intimate and detailed knowledge of the FDB global business practices, processes, and commercial drivers in order to effect maximal legal advice and risk resolution and mitigation.
  • Lead the legal review, drafting and negotiation of all types of business commercial agreements (for example master services agreements; scopes of work; supply agreements; IP licenses and CDAs) including those relating to strategic and high-profile customer collaborations.
  • Collaborate with FDB’s patent agent on IP matters.
  • Identify and advise on associated commercial and quality issues arising out of commercial agreements; in each case identifying the need for assistance from, and managing, expert assistance when required.
  • Act independently with escalation of issues to the Assistant General Counsel and senior management when required.

Risk Management:

  • Identify legal and business risk (in the legal context) and assist to develop strategies and solutions to enable the business to resolve and/or mitigate those risks.

Compliance:

  • Assist the Compliance Team with compliance issues and roll out of compliance policy and training, as needed.

Policy and Guidance:

  • Assist with the implementation of business policies and guidance; legal projects and roll out of associated legal training/mentoring to the business.

Ancillary legal support:

  • Provide support to business functions such as Finance, HR, EHS, and Capital Expenditure (CAPEX) Projects including identifying the need for assistance from, and managing, expert assistance when required.

Ability to travel:

  • 15%

Required Skills/Education

  • College degree and juris doctorate from accredited law school. Academic honors preferred.
  • Admittance in good standing to at least one state bar, preferably NC.
  • 10+ years of relevant experience in a corporate law firm and /or in-house legal department.
  • Experienced people manager and have solid experience in team management.
  • Specialist knowledge of biologics in a legal context.
  • Good interpersonal, relationship-building and influencing skills are required across a complex matrix organization and across client organizations, not all of whom have internal legal counsel of similar levels of understanding.
  • Must be able to balance legal advice against complex pressures. This includes successful completion of contractual negotiations, protecting and maximizing the interests of FDB while working with counterparts at client organizations charged with securing similar objectives for their own businesses.

Desired Skills

  • Expert and specialist knowledge of CDMO legal practices is a major plus.
  • Expert and specialist knowledge in areas of compliance (for example GDPR); intellectual property; and/or supporting CAPEX projects.
