    We are currently for a Senior Staff Counsel for our Madison, WI location.  The Selected Senior Staff Counsel will work, independently and collaboratively, on legal issues affecting FUJIFILM Cellular Dynamics International, Inc. (“FCDI”) and its Fujifilm affiliates (together with FCDI, the “company”) to minimize risks of legal liability and ensure maximum legal rights of the company.

    Some of the responsibilities are, but not limited to:

    • Handle day-to-day legal affairs FCDI and, upon request, support legal matters of other company affiliates, particularly in biotech/life sciences industry, in each case under general supervision of senior Legal Department members.

     

    • Advise, counsel and report to management on legal and regulatory risks related to business. 

     

    • Draft, review and negotiate contracts to ensure agreements meet management/corporate objectives, in particular customer agreements, supply agreements, services agreements and other commercial contracts.

     

    • Participate in the development and structuring of new business ventures and arrangements.

     

    • Draft and negotiate various IP and technology related agreements, including license agreements, joint development agreements, material transfer agreements and nondisclosure agreements.

     

    • Provide counsel on intellectual property rights and issues (patent, trade secrets, trademarks, copyright and domain names.)

     

    • Perform general corporate and pre-litigation work to minimize risks and maximize legal rights.  Manage litigation matters and strategy.

     

    • Prepare and maintain corporate records for accuracy and thoroughness.

     

    • Keep abreast of legislative and regulatory changes that may affect the company.

     

    • Provide training to company on substantive legal and compliance topics.

    Educational Requirement:

    • College degree and Juris doctorate from accredited law school.  Academic honors and science degree preferred. 
    • Admitted to WI Bar.  Registered to practice before US Patent and Trademark Office preferred.

    Required skills:

    • 7 years of relevant experience in corporate law firm and/or in-house legal department.
    • Solid commercial contract and IP background with extensive contract drafting and negotiation experience, in particular with respect to customer agreements and licensing agreements.
    • Experience in the biotech and life sciences area.

     

    Desired experience

    • In depth knowledge of legal practices and regulations affecting the biotech and life sciences industry, including pharmaceutical/biologics and regenerative medicine areas.
    • Full understanding of intellectual property rights and protections.
    • Strong contract drafting and negotiation skills, in particular with respect to customer agreements and licensing provisions.
    • Experience managing outside counsel.
